Applicable Law

No modification or amendment of this Agreement will be effective unless in writing and signed by a duly authorized officer of 229 Software, LLC. This Agreement shall be governed by the laws of the State of New York, without regard to the conflicts of law principles thereof. You agree to submit to the exclusive personal jurisdiction of the state and federal courts located in Monroe County, New York to resolve any dispute arising under this Agreement or otherwise relating to this site. You agree to pay all costs and expenses, including attorneys’ fees, incurred by or on behalf of 229 Software, LLC in connection with any action to enforce any provision of this Agreement. The failure by 229 Software, LLC to enforce any right or provision of this Agreement shall not constitute a waiver of any such right or provision. If any provision of this Agreement is found by a court of competent jurisdiction to be invalid, the remaining provisions of this Agreement shall remain in full force and effect.
